1. Nature of Platform
MyWhat.Shop provides infrastructure tools only. We do not act as a buyer, seller, reseller, distributor, agent, escrow provider, payment processor, or logistics intermediary. MyWhat.Shop is a technology platform that provides digital storefront tools for independent sellers. The contract for sale is directly between the seller and the buyer.
2. Seller Responsibility
Sellers are solely responsible for the products they list, the accuracy of descriptions, compliance with applicable laws, fulfillment of orders, and handling of customer returns or disputes.
3. Payment Disclaimer
MyWhat.Shop does not process payments or hold funds on behalf of users by default. Payments are negotiated and settled directly between the buyer and seller via their chosen methods (e.g., UPI, Cash on Delivery).
4. Subdomain & Identifier Management
Allocation of subdomains or identifiers does not create ownership rights. We reserve the right to reallocate or reclaim any subdomain, username, or identifier for any reason, including dormancy, trademark infringement, or platform optimization. MyWhat.Shop retains sole discretion over namespace management.
5. Acceptable Use
Users may not use the platform for illegal activities, including selling prohibited goods, fraud, phishing, or distributing malware. We reserve the right to terminate accounts that violate our community standards.
6. Intellectual Property
All platform software, branding, and designs are the property of MyWhat.Shop/NavkarLabs. Sellers retain ownership of their uploaded content but grant us a license to display it on the platform.
7. Service Availability
The service is provided on an 'as-is' and 'as-available' basis. We do not guarantee uninterrupted availability and are not liable for any business loss resulting from platform downtime.
8. Limitation of Liability
To the maximum extent permitted by applicable law: (a) For non-paying users, MyWhat.Shop shall not be liable for any monetary damages arising out of or relating to the use of the platform. (b) For paying users, the aggregate liability of MyWhat.Shop shall not exceed the greater of INR 5,000 or the total fees paid by the user in the preceding three (3) months. (c) In no event shall MyWhat.Shop be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including loss of profits, loss of goodwill, loss of business, or data loss. Nothing in this section shall limit liability where prohibited by applicable law. These limitations apply even if any limited remedy fails of its essential purpose.
9. Indemnification
Sellers agree to indemnify and hold MyWhat.Shop and its parent company, NavkarLabs, harmless from any claims, damages, or legal fees arising from their use of the platform or sale of products.
10. Disclaimer of Warranties
We disclaim all warranties, express or implied, including merchantability and fitness for a particular purpose. We do not warrant that the platform will be error-free or secure.
11. Force Majeure
We are not liable for failures or delays caused by events beyond our reasonable control, including natural disasters, internet outages, or government actions.
12. Termination
We reserve the right to suspend, restrict, or terminate access immediately and without prior notice if we reasonably believe that a user has violated these Terms or applicable laws.
13. Arbitration and Governing Law
Any disputes arising from these terms shall be resolved through binding arbitration in India under the Arbitration and Conciliation Act. The seat and venue of arbitration shall be Ahmedabad, Gujarat, India. Arbitration shall be conducted by a sole arbitrator appointed mutually by the parties. If the parties are unable to agree, the arbitrator shall be appointed in accordance with the Arbitration and Conciliation Act, 1996. The language of arbitration shall be English. The award shall be final and binding.
14. Class Action Waiver
Users agree to resolve disputes on an individual basis and waive the right to participate in any class action lawsuit or class-wide arbitration.
15. Jurisdiction
These terms are governed by the laws of India. Any legal proceedings not subject to arbitration shall be brought exclusively in the courts of Ahmedabad, Gujarat.
16. Modification of Terms
We may update these terms at any time. Continued use of the platform after updates constitutes acceptance of the new terms.
17. Electronic Communication Consent
By using the platform, you consent to receive electronic communications from us, including via email and WhatsApp, regarding your account and platform updates.
18. Fees and Refunds
Fees paid, if any, are non-refundable unless explicitly stated otherwise in a separate written agreement.
19. Beta Service Disclaimer
Certain features may be released as 'Beta' and may change, be suspended, or be discontinued without notice.
20. No Partnership or Agency
Nothing in these Terms creates any partnership, joint venture, agency, franchise, sales representative, or employment relationship between you and MyWhat.Shop or NavkarLabs. You operate as an independent business entity at all times.
21. Compliance with Laws
Users are solely responsible for compliance with all applicable local, state, national, and international laws, including consumer protection, taxation, product safety, and advertising regulations.
22. No Guarantee of Outcomes
MyWhat.Shop does not guarantee sales, revenue growth, customer acquisition, or business success resulting from the use of our tools.
23. Severability
If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.
24. Entire Agreement
These Terms constitute the entire agreement between you and MyWhat.Shop regarding the use of the platform and supersede any prior agreements or communications.
25. No Waiver
Failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
These terms form the basis of your legal agreement with MyWhat.Shop/NavkarLabs.
